1. International Commercial Terms (Incoterms® 2020)
Unless expressly stipulated otherwise in our formal Proforma Invoice or Sales Confirmation, all international transactions executed by Sheen Overseas are governed by Incoterms 2020 under the following delivery standards:
- FOB (Free On Board – Mundra / Kandla Port, India): Sheen Overseas fulfills its delivery obligation when goods clear customs and pass the ship’s rail at Mundra Port. Ocean freight, maritime cargo insurance, and destination port charges remain the buyer’s responsibility.
- CIF / CFR (Cost, Insurance & Freight / Cost & Freight – Named Destination Port): Sheen Overseas arranges ocean transit and (under CIF) procures marine cargo insurance covering Institute Cargo Clauses (A) all-risks coverage. Risk transfers upon vessel loading.
2. Quotations, Pricing & Order Acceptance
Formal proforma price quotations issued by Sheen Overseas remain valid for thirty (30) calendar days from the date of issuance, subject to ocean freight rate surcharges and raw resin polymer index adjustments. Contracts become legally binding upon receipt of a countersigned Proforma Invoice and verified advance deposit or operative Letter of Credit.
3. Payment Terms & Security Instruments
- Telegraphic Transfer (T/T Wire): 30% advance deposit upon order confirmation; 70% balance payable against digital presentation of the full set of non-negotiable shipping documents (Clean Ocean B/L, Commercial Invoice, Packing List, Certificate of Origin).
- Letter of Credit (L/C): 100% Irrevocable, Confirmed Letter of Credit at Sight opened through a prime international tier-1 bank, allowing transshipment and partial shipments where agreed.
4. Technical Tolerances & Natural Characteristics
Our engineered quartz and sintered slabs are manufactured to the world’s highest precision standards complying with EN 15285, EN 14617, and ISO 13006. Minor variations in grain distribution, natural aggregate flecks, and delicate vein paths are intrinsic hallmarks of luxury mineral aesthetics and do not constitute manufacturing defects.
5. Force Majeure & Maritime Disruptions
Sheen Overseas shall not be liable for delivery delays or failure of performance arising from events beyond reasonable commercial control, including but not limited to maritime port strikes, typhoons, canal blockades, international trade embargoes, military conflicts, or major energy grid disruptions.
6. Governing Law & International Arbitration
All commercial contracts and sales confirmations shall be governed by and construed in accordance with the substantive laws of Gujarat, India. Any dispute arising out of or in connection with international sales that cannot be resolved amicably shall be submitted to binding arbitration under the rules of the Indian Council of Arbitration (ICA) or the Singapore International Arbitration Centre (SIAC).
